These Terms of Service (“Terms”) govern your access to and use of the IronXChange platform (“IronXChange,” “IX,” “we,” “us,” or “our”), including our website, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

  1. Role of IronXChange IronXChange operates as a neutral online marketplace that allows third-party users to list, browse, and communicate regarding equipment and related services. IronXChange is not a buyer, seller, broker, dealer, auctioneer, inspector, or agent. We do not own, possess, inspect, store, transport, or represent any equipment listed on the Service.
  2. Listings and Accuracy Disclaimer (IMPORTANT) All listings, descriptions, photographs, videos, specifications, hours, conditions, pricing, and representations are provided solely by users. IronXChange does not: Verify or validate listing information Inspect equipment Confirm accuracy, condition, or authenticity Guarantee completeness or correctness Police or monitor listings for accuracy Make any representation or warranty regarding any listing Users acknowledge and agree that all listings may be inaccurate, incomplete, outdated, misleading, or incorrect. You assume all risk arising from reliance on any listing or user-provided information.
  3. Buyer and Seller Responsibilities Buyers Buyers are solely responsible for: Conducting their own inspections and due diligence Verifying condition, hours, ownership, and suitability Confirming compliance with laws and regulations Negotiating terms, pricing, and delivery Sellers Sellers are solely responsible for: Accuracy of listings and representations Legal ownership and right to sell Compliance with all applicable laws Any disputes arising from their listings IronXChange is not responsible for disputes, misrepresentations, or transaction outcomes.
  4. No Warranty THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” IRONXCHANGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY FITNESS FOR A PARTICULAR PURPOSE NON-INFRINGEMENT ACCURACY OR RELIABILITY OF LISTINGS CONDITION OR VALUE OF EQUIPMENT We make no warranty that listings are accurate, complete, lawful, or suitable for any purpose.
  5. Transactions Between Users All transactions occur directly between users. IronXChange: Is not a party to any transaction Does not handle payment unless explicitly stated Does not guarantee payment, delivery, or performance Does not mediate or resolve disputes. Any dispute is strictly between the buyer and seller.
  6. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONXCHANGE SHALL NOT BE LIABLE FOR: Inaccurate or misleading listings Equipment condition or failure Financial loss or lost profits Disputes between users Fraud, misrepresentation, or negligence by users Personal injury or property damage Indirect, incidental, consequential, or punitive damages Your sole remedy is to discontinue use of the Service.
  7. Indemnification You agree to defend, indemnify, and hold harmless IronXChange, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising from: Your listings or content Your transactions Your violation of these Terms Your reliance on information from the Service
  8. User Content By submitting content, you grant IronXChange a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute such content for operating and promoting the Service. You represent that you have the right to submit such content.
  9. Account Termination IronXChange may suspend or terminate accounts at any time, with or without notice, for any reason or no reason. We are not liable for termination or loss of access.
  10. Modifications to the Service or Terms We may modify or discontinue the Service or these Terms at any time. Continued use constitutes acceptance of any changes.
  11. Governing Law and Venue These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action must be brought exclusively in courts located in Texas.
